Our corporate practice focuses on the interests of investors, first time entry companies, as well as those of established companies looking into new ventures. Our corporate advice and services include securing qualified investment project (QIP) approvals and licenses, negotiating and drafting shareholders’ and joint venture agreements, and advising on mergers and acquisitions. We also handle incorporations, business operating licenses, corporate structures (legal & tax), due diligence and regulatory compliance, business restructurings and reorganizations, as well as corporate secretarial services including annual declarations of commercial enterprise, renewal of certificate of incorporation, and registration of share transfer, change of shareholders and amendment of the articles of incorporation.

Since becoming a member of the WTO in 2004, Cambodia has endeavored to adopt new intellectual property laws and regulations in compliance with World Trade Organization Agreements, in particular the Agreement on Trade-Related Aspects of Intellectual Property Rights (TRIPS Agreement). While Cambodia still lacks a number of key implementing regulations, we understand companies’ inherent interest in protecting their intellectual property and, accordingly, provide our clients with innovative solutions. Our intellectual property advice and services cover the search, registration and prosecution of intellectual property rights (including geographical indications), licensing, sub-licensing and franchising agreements, enforcement of intellectual property rights, as well as anti-counterfeiting and infringement settlements and litigation.

Having acknowledged the importance of the telecommunications sector, Cambodia has made significant progress in regulating the industry. The country has actively encouraged foreign investments, especially in the latest technologies, by adopting one of the most liberal telecommunications policies in the region.
Our telecommunications practice covers telecommunications operating licenses, licensing agreements, e-commerce, broadcasting as well as regulatory compliance.

With an increasing amount of foreign companies establishing a presence in Cambodia, we understand the need to provide comprehensive labor & employment advice. As part of our Labor & Employment practice, we have advised Cambodia’s leading human resource and recruiting agency and have audited several major foreign companies’ human resource practices. We provide guidance to companies on the introduction of their internal labor regulations, as well as their ethics codes. Our advice and services also include labor registrations, labor compliance and due diligence (for example during a restructuring or take-over), as well as labor outsourcing, employment contracts and confidentiality charters. We also handle work permits and other immigration-related labor services.

Our firm handles complex commercial dispute resolution, whether in or out of court. We have served as an independent legal expert to international arbitration proceedings. Our partner Mr. BUN Youdy, as well as our Senior Advisor, Dr. PHIN Sovath, were among the first commercial arbitrators selected to the National Arbitration Center in Cambodia.

As with most fast growing, open economies, the real estate industry in Cambodia is thriving. It is particularly buoyant in the infrastructure development and agro-industry sectors. Our Real Estate practice is focused on meeting our clients’ complex real estate demands and in particular on protecting our foreign clients’ investments, including infrastructure construction, Special Economic Zones and economic land concessions projects.

We advise on all phases of real estate projects, from due diligence to titling, holding structures, sale, purchase and lease agreements, property management related agreements, as well as real estate business licensing. We also provide services relating to construction permits and regulatory compliance, construction contracts and sub-contracts as well as environmental impact assessments for the purpose of industrial activities. In a country with rapidly changing laws and regulations, regulatory reform and administrative law form a key part of our practice areas. Within this framework, we advise our clients on the protection of their foreign investments, as well as on project finance and infrastructure, public-private partnerships and state enterprises. Our partner, Mr. BUN Youdy, previously provided extensive advice to the Government on its BOT (Build-Operate-Transfer) project decree as well as on other commercial regulations. We also advise the Government on public procurement, perform legal feasibility studies and provide other technical assistance in legal reform. Our firm is deeply committed and passionate about advancing the Kingdom’s legal system and economy.

Our Tax & Customs practice covers extensive tax planning and strategy (including for mergers and acquisitions and real estate), tax incentives (Qualified Investment Project, Special Economic Zones, and Initial Public Offerings), as well as import and export procedures and requirements. We also advise our international and domestic clients on tax dispute settlements, tax clearance and local administration tax regime, as well as their corporate tax due diligence, filings, declarations, compliance, and audits,

Cambodia’s tax and customs system is still relatively new and subject to frequently changing legislation. On behalf of our clients, we seek interpretation on tax regulations and practice with the Cambodian administration.

Cambodia’s insurance landscape is still relatively new. Our firm has developed an expertise in the insurance sector that is unmatched by any other firm in Cambodia. We provide comprehensive advice to multinational companies on their insurance portfolio, including regulatory and tax compliance. We audit companies’ existing insurances, work with our clients to identify insurance needs and counsel them on the best insurance solutions, tailored to their requirements. We obtain licenses for insurance companies, including micro-insurance companies, brokers and agents, as well as for a major NGO dealing with security assessments. In addition, we counsel foreign insurance companies on their market entry. Finally, we also liaise with and advise the Government on insurance matters, including regulatory reform.

Over the years, our firm has established an outstanding Banking & Finance practice. We have built strong relationships with major foreign banks and are advising numerous financial institutions as well as capital users. Our banking and finance advice spans a wide range of services, including market entry strategies, licensing, regulatory compliance, project and trade finance, cross-border financing, loan and security agreements, including secured transactions, structured finance, as well as debt restructuring and collection. Our firm set up a team specialized in Cambodia’s emerging securities sector, which handles matters related to initial public offerings (IPOs), including the preparation thereof and all post-IPO compliance aspects.

Our keen awareness of Cambodia’s rapidly growing economy and evolving commercial landscape shapes our Commercial Contracts and Trade practice.
